a financial institution that fulfils the following conditions:

1. (1) (except in (2)) has the meaning in article 4(1)(20) of the EU CRR.
1. (2) (in GENPRU (except GENPRU 3) and BIPRU (except BIPRU 12) a financial institution that fulfils the following conditions:
   1. (a) its subsidiary undertakings are exclusively or mainly CAD investment firms or financial institutions;
   1. (b) at least one of those subsidiary undertakings is a CAD investment firm; and
   1. (c) it is not a mixed financial holding company.
