      1. (1) (except in COLL, DTR25 ,LR50 and 50 PR 425050) (in relation to any of the following (whether constituted in the United Kingdom or under the law of a country or territory outside it)):
        1. (a) an unincorporated association;
        1. (b) a body corporate;
        1. (c) (in SYSC, APER, COCON,122 MIPRU 2 (Responsibility for insurance distribution and MCD credit intermediation activity121),3498SUP 10A (FCA 98Approved persons) and SUP 10C (FCA senior managers122 regime for approved persons in SMCR firms122) 98a partnership; 14
        1. (d) (in SYSC and 100SUP 10A (FCA Approved persons))100 a sole trader;
        any person appointed to direct its affairs, including a person who is a member of its governing body and (in accordance with section 417(1) of the Act):
        1. (i) a person occupying in relation to it the position of a director (by whatever name called); and
        1. (ii) a person in accordance with whose directions or instructions (not being advice given in a professional capacity) the directors of that body are accustomed to act.
      1. (2) (in COLL50) a director of an ICVC, including (in accordance with regulation 2(1) of the OEIC Regulations) a person occupying in relation to the ICVC the position of director, by whatever name called.316
      1. (3) (in DTR, LR 42 and42 PR 42 27 ) (in accordance with section 417(1)(a) of the Act) a person occupying in relation to it the position of a director (by whatever name called) and, in relation to an issuer which is not a body corporate, a person with corresponding powers and duties.25
